Effective Date: 06/04/2024 Welcome to KnightNexus LLC! These Terms and Conditions ("Terms") govern your use of our Customer Relationship Management (CRM) software ("Software") and related services ("Services") provided by KnightNexus LLC ("we," "us," "our"). By accessing, installing, or using our Software and Services, you irrevocably agree to comply with these Terms in their entirety. If you do not unconditionally accept these Terms, you must immediately cease all use of the Software and Services.

1. Binding Agreement These Terms constitute a legally binding agreement between you ("User," "you," "your") and KnightNexus LLC. By creating an account, accessing, installing, or using the Software and Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is hereby incorporated by reference. 2. User Eligibility and Authority You must be at least 18 years old and possess the legal capacity to enter into contracts. If you are using the Software and Services on behalf of a corporation, organization, or other legal entity, you represent and warrant that you have the full legal authority to bind that entity to these Terms. If you do not have such authority, you may not use the Software or Services.

3. License and Restrictions KnightNexus LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software strictly for your internal business purposes, subject to these Terms. You expressly agree to the following conditions: You shall not sublicense, sell, rent, lease, transfer, distribute, or otherwise commercially exploit the Software. You are prohibited from modifying, reverse-engineering, decompiling, disassembling, or creating derivative works based on the Software. You must not use the Software to violate any applicable laws, infringe upon any third-party rights, or facilitate any fraudulent activity. KnightNexus LLC reserves the right to terminate or suspend your license to use the Software at its sole discretion, with or without notice, if it believes you have violated any aspect of these Terms.

4. Account Responsibility Account Information: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, including unauthorized use by others. Prohibited Actions: You agree not to share your account login details with any third party or to allow unauthorized access to your account. Liability Disclaimer: KnightNexus LLC shall not be held liable for any damages or losses arising from unauthorized access to your account. You agree to promptly notify us of any suspected security breach or unauthorized use.

5. Fees, Payment, and Refund Policy Payment Terms: You agree to pay all subscription fees and other charges as specified in your subscription plan in a timely manner. Fees are due in advance and are non-refundable. Automatic Renewal: Subscription plans may renew automatically unless you cancel prior to the renewal date. You authorize KnightNexus LLC to charge your chosen payment method for the subscription fees and any applicable taxes. Payment Failures: In the event of a payment failure or chargeback, KnightNexus LLC may suspend or terminate your access to the Software without notice.

6. Intellectual Property Rights All intellectual property rights in the Software and Services, including all trademarks, copyrights, patents, and proprietary information, are exclusively owned by KnightNexus LLC or its licensors. Unauthorized use of any intellectual property, including but not limited to reverse-engineering or data scraping, will result in immediate legal action.

7. Data Usage and Privacy Data Ownership: You retain ownership of all data you input into the Software. However, you grant KnightNexus LLC a non-exclusive, royalty-free license to use, process, and store your data solely for the purpose of providing the Services. Data Security: While we employ industry-standard measures to protect your data, you acknowledge that no method of electronic storage or transmission is completely secure. KnightNexus LLC is not responsible for any unauthorized access, theft, or corruption of data unless caused by our gross negligence or willful misconduct. Data Backups: You are responsible for maintaining your own data backups. KnightNexus LLC does not guarantee data recovery and shall not be liable for any loss of data under any circumstances.

8. Disclaimer of Warranties No Guarantees: THE SOFTWARE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. Service Interruptions: KnightNexus LLC does not guarantee that the Software or Services will be uninterrupted, secure, or error-free. You assume full responsibility for your use of the Software and Services.

9. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, KNIGHTNEXUS LLC, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE LAST 12 MONTHS.

10. Indemnification You agree to indemnify, defend, and hold harmless KnightNexus LLC, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to your use of the Software, your violation of these Terms, or your infringement of any intellectual property or other rights of a third party.

11. Termination KnightNexus LLC reserves the right to terminate or suspend your access to the Software and Services, without notice, for any reason, including but not limited to your breach of these Terms or engagement in illegal or fraudulent activities.

12. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of the TX/USA, without regard to conflict of law principles. Any disputes arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in TX/USA, and you consent to personal jurisdiction in these courts.

13. Severability If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement These Terms, along with our Privacy Policy, constitute the complete and exclusive agreement between you and KnightNexus LLC regarding the Software and Services, superseding any prior agreements, communications, or understandings, whether oral or written.

15. Amendments and Modifications KnightNexus LLC may update or modify these Terms at any time, in its sole discretion. Any changes will be effective immediately upon posting. It is your responsibility to review these Terms periodically. Continued use of the Software and Services following the posting of changes constitutes your acceptance of those changes.
